The three entities constituting the MANSSA® protocol are fully desolidarized. Each is incorporated, governed, and regulated independently. A reference to "MANSSA®" on this site designates the protocol as a whole; it does not create any joint venture, partnership, or merged legal person between the three entities. Nothing on manssa.io constitutes a public offering of securities, a prospectus, an offer to sell, or a solicitation to purchase any token or financial instrument.
Article 1. Publisher
The site manssa.io is published under the joint stewardship of the three entities of the MANSSA® protocol. Each entity is legally distinct, operationally desolidarized, and subject to its own regulatory jurisdiction. The primary publisher of record for the manssa.io domain and institutional communications is MANSSA Foundation, incorporated in Switzerland as a Stiftung (Foundation) under Swiss law, holder of the MANSSA® intellectual property and custodian of the protocol governance architecture.
Article 2. Tri-Entity Legal Structure

Switzerland — Stiftung (Foundation) · Ownerless governance
MANSSA Foundation is incorporated in Switzerland as a Stiftung (Foundation) under Swiss law, with ownerless governance. It holds the MANSSA® trademark, all associated intellectual property, and the protocol governance architecture. It serves as the steward of the MANSSA® DAO constrained governance framework and oversees the oracle system across all three entities.

MANSSA — Regulated Entity (Morocco)
Kingdom of Morocco — Bill 42.25 (BAM + AMMC)
The regulated entity incorporated in Morocco operates under the framework of Bill 42.25, supervised by BAM (Banque Al-Maghrib) and AMMC (Autorité Marocaine du Marché des Capitaux). It is the issuing entity for $aAFRICA and $gAFRICA tokens and operates the LaunchLab Web3 accelerator. Regulated activities are conducted strictly within the scope authorized under the applicable Moroccan regulatory framework.

MANSSA Labs SARL
Kingdom of Morocco — SARL · Technical operations
MANSSA Labs SARL is incorporated in the Kingdom of Morocco as a SARL. It is the technical operations entity of the protocol, responsible for the KETZAL trust & compliance layer and the bicameral oracle system, and conducts R&D activities. All entities maintain distinct bank accounts, independent legal counsel, separate accounting systems, distinct premises, and separate human resources policies.

Article 3. Token Disclaimer — Pre-TGE
No public offering. No solicitation.
The $MANSSA token has not been issued as of the date of this notice. The Token Generation Event (TGE) has not yet occurred. Nothing on this site, in any document published by MANSSA Foundation or any entity of the MANSSA® protocol, constitutes a public offering of securities, a prospectus, an offer to sell, or a solicitation to purchase any token, financial instrument, or investment product.
The information provided on manssa.io is strictly informational and architectural in nature. It describes the design, governance architecture, and intended mechanics of the MANSSA® protocol. It does not constitute financial advice, investment advice, or any form of regulated advice.
The $MANSSA token, when issued following the TGE, will be issued by the entity determined at time of issuance to hold the appropriate regulatory authorization in the applicable jurisdiction. No secondary market for $MANSSA exists prior to the TGE. Prior participation in any bonding or vesting program does not constitute a security transaction and does not create rights under securities regulation in any jurisdiction unless explicitly stated in a separate regulatory disclosure document applicable to that jurisdiction.

Article 4. Trademark — MANSSA®
MANSSA® is a registered trademark of MANSSA Foundation. The name is spelled with two letters S — the orthographic differentiation is substantive, legally registered, and opposable against any third party using the mark MANSA or similar confusing marks in connection with financial, blockchain, tokenization, or technology services.
The MANSSA® trademark is filed or in the process of filing with the following offices: OAPI (Organisation Africaine de la Propriété Intellectuelle), ARIPO (African Regional Intellectual Property Organization), OMPI/WIPO under the Madrid System, the United States Patent and Trademark Office (USPTO), and the European Union Intellectual Property Office (EUIPO).
The following sub-brands are also protected marks of MANSSA Foundation: $aAFRICA, $gAFRICA, sMANSSA, KETZAL, and LaunchLab RWA-Africa. Any unauthorized use, reproduction, or imitation of the MANSSA® mark or any associated sub-mark is prohibited and will be prosecuted to the full extent of applicable intellectual property law.
Article 5. Hosting
The site manssa.io is hosted on Vercel Inc. (440 N Barranca Ave #4133, Covina, CA 91723, USA). The content management infrastructure operates on Strapi Cloud. Infrastructure providers do not constitute editorial co-publishers and bear no responsibility for the content of this site.
